Why Does a Company Need the Certificate of Incorporation?
The Certificate of Incorporation serves as evidence of the business entity's existence. It is issued by SSM and certifies that a company has been legally incorporated under the Companies Act of Malaysia. Having this certificate is crucial for demonstrating the company's legal status and existence.
Changes under the New Company Act 2016
Under the New Company Act 2016, there have been significant changes introduced by SSM. One of the notable changes is the launch of the MyCoID online portal, which provides access to electronic templates necessary for incorporation, such as Form 6, Form 48A, and M&A under the previous Companies Act 1965. This initiative aims to simplify and streamline the incorporation procedures, making the process more efficient.
In line with the online portal, the terminology has also been updated under the new Company Act 2016. The previous "certificate of registration" has been replaced with "notice of registration." After a company is successfully incorporated, SSM will issue a notice of registration via email. This notice of registration serves as conclusive evidence of the company's incorporation, replacing the traditional "certificate of incorporation."
