Previously, individuals seeking to incorporate a company had to submit Form 6, Form 48A, and the M&A under the Companies Act 1965. The super form, introduced to streamline this process, now serves as a single electronic template accessible via the MyCOID 2016 portal.
The aim of introducing the super form is to simplify the business incorporation process in Malaysia. Consequently, all over-the-counter transactions have been replaced by mandatory electronic submissions through the MyCOID portal. This means there is now a unified interface for company incorporation using the super form.
What Is Required for the Super Form?
Under the provisions of the Companies Act 2016, individuals and applicants are still mandated to provide the following information when seeking to incorporate a company in Malaysia:
Proposed Company Name: Applicants need to propose a suitable name for the company, ensuring it complies with guidelines on uniqueness and appropriateness under Malaysian law.
Registered Office Address: A physical address within Malaysia where official correspondence and notices can be sent to the company must be provided.
Details of Directors and Shareholders:
Directors: Full names, residential addresses, identity card or passport numbers, and other relevant details.
Shareholders: Details such as full names, residential addresses, and shareholding percentages.
Company Secretary Details: The name, residential address, and relevant qualifications of the company secretary appointed for compliance with legal requirements.
Share Capital: Information on the authorized and issued share capital of the company, including the currency denomination if not in Malaysian Ringgit.
Memorandum and Articles of Association (M&A): These documents outline the company's constitution, rules governing its internal management, and the rights and responsibilities of shareholders and directors.
Declaration of Compliance: A declaration confirming that all legal requirements for incorporation under the Companies Act 2016 have been met.
These requirements ensure transparency, compliance with legal standards, and effective governance within Malaysian corporate entities.Â
How to Go About Filling Up a Super Form
Similar to filling out any other form, completing a super form is a straightforward process. The form comprises 5 distinct sections that need to be filled out. These sections typically include:
Section 1: Application Particulars
Section 2: Clarification
Section 3: Application Details of Directors/Members/Shareholders
Section 4: Information to Agency
Section 5: Declaration Section
The Clarification Section is where applicants must provide details about the proposed company name. If this section is not applicable, applicants have the option to leave it blank.
In the Application Details section, applicants are required to enter a business code that corresponds to the nature of their business. Following selection of the code, they must elaborate on the specific nature of their business activities.
